Business Name vs LLC: Which Should You Register in Nigeria?

One of the first decisions anyone formalizing a business in Nigeria has to make is whether to register a Business Name or a Limited Liability Company (LLC). They sound similar, but they work very differently — and the wrong choice can cost you more later, either in tax exposure, personal liability, or the expense of upgrading.

Business Name: simple, but you are the business

A Business Name registration is the fastest, cheapest way to formalize a business with the Corporate Affairs Commission (CAC). It's a good fit for freelancers, consultants, and small traders who want a registered name to open a business bank account, issue invoices, or apply for contracts that require formal registration.

The key thing to understand: a Business Name is not a separate legal entity from you. There's no distinction between your personal assets and the business's debts or obligations. If the business owes money or is sued, you are personally liable. It also can't have shareholders or issue shares.

LLC: a separate legal entity

A Limited Liability Company is registered as its own legal "person," separate from you. This means the company can own property, enter contracts, and be sued in its own name — and in most cases, your personal assets are protected from the company's debts beyond what you've invested as a shareholder.

An LLC is the better fit once you're hiring staff, taking on business risk, seeking investment, or working with clients (especially larger companies or government bodies) who prefer or require contracting with a limited company rather than an individual.

What actually changes between the two

• Liability: Business Name owners carry personal liability. LLC shareholders generally don't, beyond their shareholding.
• Structure: An LLC can have multiple shareholders and directors and can issue shares. A Business Name cannot.
• Compliance: LLCs have more ongoing compliance requirements — annual returns, statutory filings, and more detailed tax obligations — than a Business Name.
• Upgrading: You can start with a Business Name and later upgrade to an LLC as your business grows, rather than starting over from scratch.

Which one fits you?

If you're testing an idea, working solo, or want the absolute fastest and cheapest registration, a Business Name is usually the right starting point. If you're building something with employees, partners, investors, or meaningful business risk, registering as an LLC from the start — or upgrading once you reach that stage — protects you in ways a Business Name simply can't.
