What Happens If You Miss Your CAC Annual Returns?

Annual returns are one of the most commonly missed compliance obligations for registered businesses in Nigeria — not because business owners don't care, but because nobody reminds them it's due. Unlike tax filing, there's no loud annual campaign about it. It just quietly becomes overdue.

What an annual return actually is

An annual return is a yearly filing with the Corporate Affairs Commission that confirms your company's current details — directors, registered address, share structure for LLCs, and general status — are accurate and up to date. It's not the same as filing your taxes, and filing your taxes doesn't substitute for it.

Every registered Business Name, LLC, and NGO is required to file annual returns, typically starting from the year after incorporation.

What happens when you fall behind

Missing a year doesn't shut your business down overnight, but the consequences build up the longer it goes unaddressed:

  • Penalties accumulate. Late filing typically attracts penalty fees, and these tend to increase the longer the filing is outstanding.
  • Your company can be flagged as inactive. A pattern of unfiled returns can affect your company's status with the CAC, which becomes a problem if you ever need a status report or CTC of your documents — for a bank, an investor, or a contract.
  • Some services become blocked. Certain CAC services and filings — including the Business Name to LLC upgrade — require your annual returns to be up to date before they can be processed.
  • Risk of being struck off. In extended cases of non-compliance, the CAC can move to strike a company off the register, which is a far more serious and costly problem to reverse than simply filing on time would have been.

Catching up on overdue annual returns is a normal, routine piece of compliance work — it isn't a sign you've done something wrong, and it's almost always fixable. The filings get submitted for each outstanding year, applicable penalties are settled, and your company's status is brought current again.
